Cartridge Recycling:
Inspection and Payment Procedures
- Cartridges are carefully inspected for any damages, including but not limited to cracks, scratches, broken corners or tabs, damaged print heads, etc.
- Cartridges are circuit tested.
- Phones are inspected for any physical damages.
- Planet Green will not pay for any cartridges or phones that do not pass inspection. This includes cartridges or phones that are not on our price list, damaged and/or fail the circuit test.
- Checks will be written out according to the information provided on the packing slip.
- If no packing slip is included, Planet Green will make an effort to contact the participant and complete the information to satisfy our accounting needs.
- If we are unable to establish contact in a reasonable timeframe, we will hold the inspection report and credit due for a period of 30 days.
- Planet Green sends checks out within 7 days of receiving shipments at our facility. However, shipping or postal delays, or a shipment of more than 200 items, may be considered a circumstance for which an extension must be made.
Damaged Items Procedures
- Planet Green reserves the right to stop inspection of large shipments if preliminary inspection shows more than 50% damaged items.
- If more than 50% of the shipment contains damaged items, Planet Green reserves the right to deny payment to the participant, due to the shipping costs incurred for damaged items and labor costs incurred for inspection of damaged items.
- Planet Green reserves the right to deduct freight cost of large shipments from total credit due, if freight includes more than 50% damaged items.
Shipping/Freight Procedures
- Postage cost for collection boxes is prepaid by Planet Green via return labels.
- Collection boxes are to be used for inkjet cartridges and cell phones only.
- Shipping cost for laser/toner cartridges is to be paid for by the participant or will be deducted from the credit due to participant.
- Recycling participant should keep a copy of inventory or price list for their own records.
- Please package cartridges with care.
- Planet Green will not pay for cartridges that are damaged or lost in transit.
- Contact Planet Green to arrange for shipping of large quantities of cartridges (20 pounds or more).
- Contact Planet Green to arrange for pickup of large quantities of cartridges in the Los Angeles area (200 cartridges or more.)
Payment Terms:
***All initial orders including the start up kit will be shipped upon completion of our Reseller Application & all necessary information required by Planet Green.

- Available upon credit approval. (While credit approval is pending, above-mentioned payment methods are accepted.)
- NOTE: A 1.5 % surcharge per month will be applied to all delinquent accounts unpaid 31 days or more from the date of invoice. Orders placed during delinquency period, will be held until payment is made and account is brought current.
Shipping:
- All orders (to reseller’s location or Drop Ship) are shipped by Fed-Ex via regular ground.
- Customers may request other shipping services such as Fed-Ex Next Day, 2-Day, or 3-Day delivery at customer’s own expense.
- Planet Green will pay for the ground freight charge for orders shipping totaling over $500.00 (USA ONLY).
- Order must total to $500.00 after all deductions and/or credits have been applied
- Back ordered items will be charged freight at time of delivery.
Return Policy:
***Planet Green will pay for all exchanges, order errors (on our part), or unsatisfactory products, at our expense, as a courtesy to our customers.
- Shipment shortages and/or quantity discrepancies must be made within three (3) days upon receipt
- Returns must be made within (90) days of purchase date & must be in original packaging to qualify for a full refund or exchange
- Only items purchased directly from us are eligible for return.
- Merchandise returned after 90-day period are subject to a 20% restocking fee and will not be eligible for cash credit and other restrictions may apply.
- All products being returned (whether defective or otherwise) must have a Return Merchandise Authorization (RMA) Form and number issued to the return.
- Issued ONLY upon contacting Planet Green of problem
- A minimum of six (6) cartridges is required for the use of our call tags.
- Minimum must be met prior to the issuance of the RA Form & Number.
No Waiver; Modification:
None of these Terms may be waived or modified (including by course of performance, course of dealing or usage of trade) unless that waiver or modification is in writing and is signed by the party to be charged.
Inspection-Claims:
You agree to thoroughly and carefully inspect all goods and shipping papers promptly upon delivery. No claim for shortage or damaged goods will be valid or enforceable against us unless you mail us written notice specifying in detail the nature and extent of the shortage or damage within five days from the date of delivery accompanied by the original freight bill, with notation on its face by the authorized agent of the carrier as to the items and quantities claimed to be short or damaged.
Limited Remedy:
If any Product fails to conform to the limited warranty in the preceding paragraph and if: (a) you give us prompt written notice specifying in detail the nonconformity; (b) within 10 days after written authorization from us, you return the defective Product to our repair facility at your expense; (c) the inspectors at our repair facility determine that the item in fact is nonconforming or defective; and (d) you have paid for the Product; then, we will, at our option, either repair or replace the defect or refund the purchase price for that Product. THE PRECEDING REMEDY WILL BE YOUR SOLE AND EXCLUSIVE REMEDY FOR BREACH OF PARAGRAPH 9, WHETHER IN CONTRACT, TORT, OR OTHERWISE.
Laws, Codes, Regulations:
Compliance with local, state and federal laws, codes, or regulations relating to environmental, public and user safety, training, Product use, maintenance and transportation is your sole responsibility. We do not undertake or assume any of your responsibility or obligations for the safety of the workplace where the Product is used that may be imposed on you by code, regulation, or judicial decision and make no warranty or representations with respect thereto.
Indemnity:
(a) You will indemnify, defend and hold us and our successors and assigns harmless from and against any and all loss, damage, liability, claims, demands and suits asserted by any unrelated third party, including attorney fees prior to, at trial and on appeal (each, a "Claim") arising from or related to: (i) any Product if you designed or furnished the specifications for that Product, including any actual or alleged infringement and product liability (except those caused solely by defects in the materials we supplied or our sole negligence); (ii) your breach of these Terms; (iii) any improper alteration, installation, repair or maintenance including removal of guards or defeating of interlocks or other safety devices; (iv) any use contrary to the Documentation or applicable law, other than the purpose for which the Product was designed or other misuse; and (v) any failure to provide, implement or enforce any product notices. (b) We will indemnify, defend and hold you harmless from and against any and all Claims: (i) if the Product as we designed it and when used as set forth in the Documentation infringes any other party's intellectual property rights; and (ii) caused solely by our breach of these Terms. The obligation of each party (the "Indemnitor") to indemnify the other party is conditioned upon that other party (1) giving the Indemnitor prompt written notice of the Claim (except that any delay in giving notice will not limit the indemnitor's obligations unless it has been prejudiced by the delay and then only to the extent of the prejudice); (2) tendering defense and settlement of the Claim to the Indemnitor; and (3) cooperating with the Indemnitor in the defense of that Claim.
TO THE EXTENT NECESSARY TO INDEMNIFY AND HOLD US HARMLESS FROM ANY CLAIMS BY ANY OF YOUR EMPLOYEES AND TO THE EXTENT PERMITTED BY LAW, YOU EXPRESSLY WAIVE ANY IMMUNITY OR EXEMPTION FROM LIABILITY FOR THE PERSONAL INJURY OR DEATH OF YOUR EMPLOYEES THAT MAY EXIST UNDER, OR ANY RIGHT TO RECEIVE CONTRIBUTION FROM US, CREATED BY, THE WORKERS' COMPENSATION LAWS OF THE STATE WHERE THE INJURY OCCURS OR THE EMPLOYEE IS LOCATED.
NOTWITHSTANDING THE FOREGOING AND IN CONSIDERATION OF OUR NOT INCREASING THE PRICE FOR THE PRODUCTS, WE AND YOU EXPRESSLY WAIVE ALL RIGHTS, WHETHER UNDER CONTRACT, TORT OR OTHERWISE, WITH RESPECT TO ANY CLAIM OF INFRINGEMENT OR UNAUTHORIZED USE ASSERTED BY THE LEMELSON MEDICAL EDUCATION AND RESEARCH FOUNDATION LIMITED PARTNERSHIP, SOLAIA TECHNOLOGY, INC. OR ANY OF THEIR AFFILIATES.
LIMITATION ON DAMAGES:
WE WILL NOT BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, INCLUDING LOST PROFITS OR LOSS OF USE. IN NO EVENT WILL OUR LIABLITY EXCEED THE PRICE OF THE PRODUCT GIVING RISE TO THE CLAIM.
Cancellation:
A request to cancel or change an order which has been entered into our order system must be made directly via phone or email at least 24 hours before the requested shipment date and is subject to our approval. We will manufacture all Products for your specific needs, and they will therefore have no value to us. When you place an annual or monthly order or other long-term supply order, and/or schedule installment shipments and payments of that order over a period of time, we may manufacture all those Products at anytime, and you will be liable for all Product you order, including those actually manufactured by us pursuant to your order, whether or not those Products have been delivered to you.
Force Majeure:
We will not be liable for failure or delay in filling any order when due to: an Act of God; war; mobilization; insurrection; rebellion; civil commotion; riot; act of an extremist or public enemy; sabotage; labor dispute; lockout; strike; explosion; fire; flood; storm; accident; drought; power failure; inability to obtain suitable and sufficient energy, labor or material; delay of carriers; embargo; any existing or future law, ordinance, rule or regulation, whether valid or invalid, of the federal or of any state or foreign government effecting the conduct of business, including priority, requisition, allocation or price control; or due to any other cause beyond our reasonable control, whether or not affecting the procurement, production or transportation of your particular order.
Warranty
Planet Green cartridges have been remanufactured under stringent quality control standards, assuring performance that equals or exceeds the original manufacturer.
Planet Green warrants each cartridge to be free of defects in both material and workmanship. If a Planet Green cartridge is found to be defective, Planet Green will replace the cartridge or refund the full purchase price.
Planet Green further warrants that under operating conditions conforming to the manufacturer’s specifications our cartridges will not cause damage, abnormal wear, or cause deterioration to any deskjet, fax or copy machine.
Planet Green also warrants that when used as directed the cartridge will not void any machine warranties provided by the manufacturer. This warranty is dependent upon the customer providing us with satisfactory evidence that the machine failure was due to a defect in Planet Green’s cartridge, including a written statement on the service company’s letterhead and the return of subject cartridge.
Planet Green’s liability shall be limited to replacement, repair, or reimbursement as provided above. This warranty is exclusive and in lieu of all other warranties, expressed or implied, including warranties of merchantability and fitness for a particular purpose.
Customer hereby agree that the Confidential Information will be used solely for the purpose of assessing and negotiating a business relationship between the Parties and fulfilling any and all obligations between the Parties pursuant to a separate written agreement between the Parties. The Parties agree that: (i) the Confidential Information will not be used for any other purpose or to the detriment of either Party, (ii) the Confidential Information will not be, and has not been, disclosed to any third party, including but not limited to any competitor of a Party, including competitors who are an affiliate, subsidiary, parent, partner, joint venture, shareholder or owner of the Party, (iii) any customer-specific Confidential Information (including but not limited to pricing and product offerings) will not be disclosed in hand /electronic writing or verbally to any other customer or competitor and (iv) each Party will ensure that its agents, representatives, subcontractors and employees (“Representatives”) have knowledge of and agree to abide by the terms of this Agreement.
